TERMINATION OF THE CONTRACT DUE TO ITS FUNDAMENTAL BREACH IN INTERNATIONAL AND FOREIGN LAW

Abstract:
The article is devoted to the study of the criteria defining the breach of a contract as essential as a ground for its termination. The author draw attention to the fact that the problem of materiality of breach of contractual obligations is reflected not only in the domestic legislation of countries, but also in international normative legal acts. The study demonstrates the mentioned basis of contract termination in the legislation of France, Italy, England, USA and Russian Federation as well as in informal documents such as Principles of European Contract Law (PECL), Principles, Definitions and Model Rules of European Private Law (DCFR). As part of the study, the authors note that the legislation of countries, covering the concept of «material breach» in different ways, have common features. Particular attention is paid to a number of factors that the Unidroit Principles take into account to determine the materiality of breach of contract. The author argues his point of view and makes conclusions taking into account the analysis of various foreign sources.
